i agree to co-sign for the Employee. I conditionally guarantee the performance by employee under the employment agreement, including but not limited to; character, responsibility, and finiacial obligations. Any finiacial owing, incurred by the employee during his/her emloyment, including but not limited to breach of trust, document tamparing, damages to the property, or any miscllanous items legally the responsibility of employee and legally chargeable to the employee. The liablity of the Co-signer/Guarantor may be ennforced without requiring first to exercise, enforce or exhaust any rights or remedy against the employee. This guarantee extends to all liabilities, as necessary to protect the intrests of the firm -James Marsh & Associates (JMA) Any suits or action based on this agreement will be brought in the State High court and/or the State which the firm is located.

Employee Confidentially Agreement Letter

Employee agrees to the terms of this agreement:

1. The employee acknowledges that, int he course of employment by the employer, the employee has, and may in the future, come into possesion of certain confidential information belonging to the employer including, but not limited to trade secerets,etc, deemed as proprietary and confidential, unpublished books/literatures, marketing strategies,etc.
2. The employees hereby covenants and agrees that he/she will at no time, during or after the term of employment, use for his or her own benefit, or of others disclose or divulgeto others, any such confidential information.
3.Upon termination of employment, the employee wil return to the employer(retaining no copies). all document relating to the employer business including,but not limited to,reports, manuals etc obtained by the employee in the course of employment.
4. upon termination of employment, the employee shall NOT engage in any open competition with the employer for up to 5 years and there after, will seek a letter of authority from the Principal Partner/MD or his designee.
5.Violation of this agreement by the employee will entitle the employer to other lega; remedies, including attorney's fee and costs.
6.This agreement shall be governed by the laws of the federal republic of Nigeria(Employer/employee protection Act of 1999).
7. If any part of this agreement is adjudged invalid, illegal or unenforceable, the remaining partsshall not be affected and shall remain in full force and effect.
8. This agreement shall be binding upon the parties, and upon the heirs, executors, personal representatives, administrators and assigness. No person shall have a right or cause to cause of action arising out of or resulting from this agreement except those who are parties to it and their successors in interest
9. This agreement may not be modified except in writing, signed by all the parties concerned(the employer and the employee).
